Terms of Service

These Terms of Service ("Terms") govern your use of the VERSA platform, operated by [Company Registration Name] ("VERSA," "we," "us"). By registering for or using VERSA, you agree to these Terms.

1. What VERSA Is

VERSA is a Workforce Competency Platform. VERSA is not a training provider. We connect clients seeking training with independent, qualified trainers, help trainers prepare proposals, and manage HRD Corp programme registration where applicable. VERSA is not a party to the training agreement between a client and a trainer, and is not affiliated with HRD Corp.

2. Accounts and Roles

VERSA supports three types of platform users:

• Clients — organizations searching for training, comparing trainers, and requesting quotations.
• Trainers — individuals or companies who register a profile, submit training programmes, and respond to quotation requests.
• VERSA Admin — VERSA's internal team, who review trainer registrations and programmes, and manage HRD Corp submissions.

You're responsible for the accuracy of the information in your account and for keeping your login credentials secure.

3. How the Marketplace Works

• Clients search for training by category (e.g. Forklift, Chemical Safety, First Aid) and VERSA recommends suitable trainers.
• A client may request quotations from a maximum of three (3) trainers per training request.
• Where no suitable existing programme is found, VERSA's AI may generate a draft training outline. The trainer must accept, edit, or replace this draft with their own before it becomes an official programme — VERSA-assisted drafts never become final without trainer approval.
• Once a client approves a quotation, VERSA will manage HRD Corp programme registration if the selected programme requires it, and will notify the client once HRD Corp approval is granted.

4. Trainer Intellectual Property

Programme titles, course outlines, learning objectives, presentation materials, practical activities, and assessment methods that a trainer uploads, accepts, or edits remain that trainer's exclusive intellectual property. VERSA will not share a trainer's programme content with another trainer, permit another trainer to access it, or use it to generate proposals for a different trainer. AI-generated drafts, once accepted or edited by a trainer, also become that trainer's exclusive property.

5. HRD Corp Registration

Where VERSA assists with HRD Corp programme registration, this is a facilitation service only. VERSA does not control HRD Corp's review process, approval timelines, or decisions, and makes no guarantee that any programme will be approved or that any grant application will succeed.

6. Client Responsibilities

Clients are responsible for evaluating trainers and programmes before engaging them, for the terms of any training agreement entered into directly with a trainer, and for any HRD Corp grant application submitted on the client's own behalf.

7. Trainer Responsibilities

Trainers are responsible for the accuracy of their profile and programme content, for holding any qualifications or accreditations they represent themselves as having, and for delivering training in line with what was quoted and agreed with the client.

8. Fees

Details of any platform fees or commissions will be presented separately as VERSA's pricing model is finalized ahead of public launch.

9. Prohibited Conduct

• Circumventing the platform to avoid applicable fees, where such fees apply.
• Copying, redistributing, or misrepresenting another trainer's programme content.
• Submitting false credentials, accreditations, or HRD Corp status.
• Using the platform for any unlawful purpose.

10. Disclaimers

VERSA provides the platform "as is." We do not guarantee the quality, accuracy, or outcome of any training delivered by trainers on the platform, and we do not guarantee HRD Corp approval or grant outcomes. VERSA is not responsible for disputes arising directly between clients and trainers.

11. Limitation of Liability

To the maximum extent permitted by law, VERSA's total liability arising from your use of the platform is limited as set out in a schedule to be confirmed. Nothing in these Terms limits liability that cannot be excluded under applicable law.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of VERSA after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of Malaysia.
